Terms and Conditions

These Terms form a binding agreement between wejanno, operated by Aros Advisory ("we", "us", "our"), and you or the entity you represent ("you", "your"). By accessing or using the wejanno service (the "Service"), you agree to them.

If you are agreeing on behalf of a company, you represent that you have the authority to bind it.

1. What the Service does

wejanno manages the social accounts you connect to it. It generates content on a schedule, holds every piece for your approval, publishes what you approve, and triages incoming comments and direct messages into automatic replies or escalations to a person on your side.

Which networks are available. Supported networks are those our connection provider, Zernio, offers, and we enable them one at a time. Instagram is enabled today. Your subscription covers the accounts you connect rather than a fixed list of networks, so a network we enable later becomes available to you without a change to these Terms. We will not tell you a network is available before it is, and you should confirm a network is enabled before subscribing in reliance on it.

2. Automated processing and your responsibilities

The Service uses artificial intelligence to draft content and to classify messages sent to your account. This is described in section 3 of our Privacy Policy, which forms part of these Terms.

Two obligations follow, and they are yours:

• Approval. Nothing is published without a person on your side approving it. You are responsible for what you approve. We give you the gate; using it is your decision.
• Your audience. When your followers message your account, their messages are processed automatically as described in the Privacy Policy. You are responsible for having the right to receive and process those messages, and for any notice or consent your own circumstances require.

3. Accuracy of what is published

The Service asserts only facts you have supplied and approved. It is built to refuse rather than to guess, and questions about rights, royalties or legal matters are escalated to you rather than answered.

You remain responsible for the accuracy of anything published under your name. An approval gate is only as good as the review it receives.

4. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it. Proceedings arising under them shall be brought in the courts of Toronto, Ontario.

Our handling of personal information is governed by the Personal Information Protection and Electronic Documents Act (PIPEDA) and, where applicable, Quebec's Law 25.

5. Fees

The Service is not currently charged for. No fee is payable and no payment method is collected at this time.

The following terms take effect only when we begin charging, and we will give you notice before that happens:

• Recurring billing. A subscription is billed automatically at the start of each term, on the anniversary of the date you subscribed.
• Processing. Payments are processed by Stripe. You agree to Stripe's terms for that processing.
• Failure. If a charge fails, we may suspend access until payment succeeds.
• No free trial is offered unless we state otherwise in writing.

6. Cancellation and refunds

• Cancel at any time, through your account settings or by contacting us.
• Access continues to the end of any period you have already paid for.
• Ontario cooling off. If you are a consumer under the Ontario Consumer Protection Act entering an internet agreement, you may cancel within seven days of receiving a copy of the agreement and receive a full refund.
• Otherwise, fees already paid are non refundable, though we may issue a prorated refund at our discretion. Doing so once does not oblige us to do so again.

7. Data storage

Most of the service runs in the United States and Canada. Our database and stored media are in the United States.

Data handled by Zernio, which holds the connection to your social accounts, is stored and processed in Europe. That includes the content of comments and direct messages sent to your accounts, the identifiers of the people who sent them, and your access tokens. Zernio is a Spanish company with no United States or Canadian region on any plan, so this is how the service works rather than a setting we could change.

Messages your followers send you therefore leave North America. Section 7 of our Privacy Policy explains this in full, including what it means under PIPEDA and, if it applies to you, Quebec's Law 25. Read it before you connect an account. If that arrangement does not suit your business, this is the point to decide, not after your audience has started writing to you.

8. Service availability

The Service is provided as it is. We do not offer an uptime guarantee, a service level commitment, or a backup and recovery guarantee, and you should not rely on wejanno as the only record of your content.

9. Dependence on third party platforms

The Service depends on the networks you connect, on their platform APIs, and on Zernio, which holds the connection to your account. We are not responsible for changes, restrictions, price increases, outages or revocations by any of them. If a platform limits access, parts of the Service may stop working, and that alone does not entitle you to a refund.

10. Limitation of liability

To the maximum extent Ontario law permits, our total liability for any claim arising from these Terms shall not exceed the greater of the fees you paid us in the three months before the event, or one hundred Canadian dollars.

Nothing in these Terms limits liability that cannot be limited by law.

11. Changes

We may change these Terms. Where a change materially affects your rights or how your data is handled, we will tell you before it takes effect.
